1. Scope and Definitions

These Terms & Conditions (“Terms”) govern the use of the Orkestrify online platform (“Platform”, “Service”), operated by Heureka Music Agency GmbH (“we”, “us”, “our”).

By using Orkestrify, you (“User”, “Musician”, “Orchestra”, “Buyer”, “Seller”) agree to be bound by these Terms.

Orkestrify provides:

• a platform for connecting musicians and orchestras,

• a marketplace for buying and selling musical instruments and equipment,

• communication and management tools related to the music industry.

 

2. Eligibility

To use Orkestrify, Users must:

• be at least 18 years old,

• have full legal capacity,

• provide accurate registration details,

• agree to these Terms and the Privacy Policy.

If you create an account on behalf of a company or ensemble, you confirm that you are authorized to do so.

 

3. User Accounts

Users must create an account to access certain Platform features.
You agree to:

• keep login credentials confidential,

• ensure that your information remains accurate,

• be responsible for all activity under your account.

We may suspend or terminate accounts that violate these Terms or applicable law.

 

4. Platform Functionality

Orkestrify provides tools to:

• create and manage musician or orchestra profiles,

• search for collaborators,

• communicate via internal messaging,

• list, buy, and sell instruments and equipment,

• share event details and production requirements.

We may update or modify features at any time to improve user experience.

 

5. Responsibilities of Users

By using the Platform, you agree that you will not:

• violate any local, national, or international laws,

• post false, misleading, or harmful information,

• infringe copyright or other intellectual property rights,

• harass, threaten, or harm other Users,

• upload malicious software or attempt unauthorized access.

All content uploaded by Users remains the responsibility of the User who posted it.

 

6. Marketplace Transactions

Orkestrify provides a marketplace but does not act as a buyer, seller, agent, distributor, broker, or escrow service.

Users are solely responsible for:

• listing accuracy,

• pricing,

• payment arrangements,

• shipping, delivery, and returns,

• compliance with tax and trade regulations.

We do not guarantee:

• the quality, condition, legality, or authenticity of items sold,

• the performance or reliability of Users.

Disputes between Users must be resolved between the involved parties.

 

7. Payments and Fees

Unless otherwise stated:

• Membership or platform usage may be free or paid depending on subscription tiers,

• Marketplace transactions may be subject to service fees or commissions,

• Prices are displayed in EUR (Euro),

• Any applicable VAT will be shown where required.

We reserve the right to introduce or modify fees with reasonable notice.

 

8. Cancellations and Refunds

Refunds for digital services, subscriptions, or paid platform features are governed by:

• applicable consumer protection laws,

• our internal policies (specified where the purchase occurs).

Marketplace purchases are handled directly between Users; we are not responsible for refunds arising from user-to-user transactions.

 

9. Intellectual Property

The Platform, including:

• software,

• design,

• logos,

• graphics,

• text,

• audio or visual content,

is the intellectual property of Heureka Music Agency GmbH, unless explicitly stated otherwise.

Users may not copy, modify, distribute, or reproduce platform content without our written consent.

User-uploaded content remains the property of the User, but by uploading it, the User grants us a non-exclusive license to display it on the Platform.

 

10. Data Protection

We process personal data in accordance with:

• the GDPR,

• Austrian data protection legislation.

Details can be found in our Privacy Policy & Cookie Policy, which forms an integral part of these Terms.

 

11. Liability

We strive to ensure high service quality but cannot guarantee:

• uninterrupted or error-free operation,

• the accuracy of user-provided information,

• the authenticity or reliability of marketplace items,

• the suitability of Users for collaboration.

 

To the maximum extent permitted by law, we are not liable for:

• financial losses,

• missed opportunities,

• transaction issues between Users,

• technical failures or content errors.

 

12. External Links

The Platform may contain external links.
We are not responsible for the content of external websites operated by third parties.

 

13. Termination

We may suspend or terminate User accounts if:

• Terms are violated,

• fraudulent or harmful activity is detected,

• we are required to comply with legal obligations.

Users may delete their accounts at any time.

 

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Austria.
Any disputes shall be resolved exclusively by the competent courts in Vienna, Austria.

15. Changes to These Terms

We may update these Terms at any time.
Material changes will be communicated via:

• email, or

• platform notifications.

Continued use of the Platform constitutes acceptance of the updated Terms.
